Terms of Service
Welcome to Codira. These Terms of Service (“Terms”) govern your access to and use of Codira’s software platform, APIs, documentation, website, and related development tools and services (collectively, the “Platform” or “Services”). By accessing or using the Services, you agree to these Terms.
Please also review our Privacy Policy, which explains how we collect, process, and protect personal information.
If you are using the Services through your employer or another organization that has entered into a separate agreement with Codira, that agreement may govern your use of the Services.
If you accept these Terms on behalf of a company or legal entity, you confirm that you have authority to bind that entity.
1.Access and Use
1.1 Access to the Services
Codira develops ai-powered software tools designed to improve and automate portions of the software development workflow. Subject to your compliance with these Terms, Codira grants you a limited, non-exclusive right to access and use the Services.
1.2 User Content
You may provide prompts, source material, code, or other information to the Services (“Inputs”). The Services may generate code, responses, recommendations, or other outputs (“Outputs”). Inputs and Outputs together are referred to as “Content.”
We may process Content in order to operate the Services, maintain platform security, enforce policies, and comply with applicable laws. You represent that you have all necessary rights and permissions to provide Inputs and authorize Codira to process them.
1.3 ai Training and Data Usage
Codira will not use your Content to train ai models or permit third parties to do so unless you have explicitly opted in. Settings and controls for managing training preferences are available within the Services.
1.4 ai Output Limitations
Outputs are generated automatically using machine learning systems and may contain inaccuracies, incomplete information, or content similar to outputs generated for other users. ai-generated responses may not always understand context, nuance, reasoning, or factual accuracy.
You acknowledge that you are solely responsible for reviewing, testing, and validating any Outputs before relying on them.
1.5 Restricted Uses
Except where prohibited by law, you may not:
- Reverse engineer or attempt to access underlying source code or models;
- Modify, resell, lease, or distribute the Services;
- Remove ownership or proprietary notices;
- Use the Services or Outputs to create competing ai systems or datasets;
- Attempt to probe, breach, or disrupt platform security;
- Scrape or harvest data from the Services;
- Use the Services in violation of law or third-party rights;
- Submit regulated or protected data subject to specialized compliance obligations unless expressly authorized;
- Permit others to engage in prohibited activities using your account.
You agree to promptly notify Codira of any unauthorized access or misuse of the Services.
1.6 Beta Features
Codira may occasionally offer experimental or beta functionality. These features are provided for testing and evaluation purposes only and may be incomplete, unstable, or discontinued at any time.
Beta features are provided “as is” without warranties or guarantees of support or availability.
1.7 Automatic Code Execution
Certain features may automatically run generated code or workflows without requiring manual approval. If you enable such functionality, you accept all associated risks, including outages, security issues, software defects, or data loss.
You are responsible for implementing appropriate testing, monitoring, and safeguards.
2.Eligibility
You must be at least 18 years old, or the legal age of majority in your jurisdiction (whichever is higher), to use the Services.
By using the Services, you confirm that:
- You meet the minimum age requirement;
- You have not been previously suspended or banned from the Services;
- Your use complies with applicable laws and regulations.
3.Accounts
To use many features of the Services, you must create an account. You agree to provide accurate and current information and keep your credentials secure.
You are responsible for all activity conducted through your account. If you believe your account has been compromised, you must notify Codira immediately.
4.Billing and Payments
4.1 Paid Features
Some Services require payment. Fees are displayed before purchase and are generally non-refundable except where required by law.
4.2 Pricing Changes
Codira may modify pricing at any time with advance notice through the platform, email, or other reasonable communication methods. Continued use after a pricing change becomes effective constitutes acceptance of the new pricing.
4.3 Payment Processing
Payments may be processed through third-party providers such as Stripe. By using paid Services, you also agree to the applicable payment processor terms and policies.
4.4 Subscription Plans
Subscription-based plans renew automatically unless canceled before the renewal date. By subscribing, you authorize recurring billing using your selected payment method.
You may cancel at any time through your billing settings or by contacting support.
4.5 Add-On Features
Codira may offer optional usage-based features, integrations, or add-ons that incur additional fees. These features are considered part of the Services and governed by these Terms.
4.6 Delinquent Accounts
Failure to pay fees when due may result in suspension or termination of access to paid Services.
5.Ownership and Intellectual Property
5.1 Platform Ownership
Codira and its licensors retain all ownership rights in the Services, including all related intellectual property.
5.2 Feedback
If you provide suggestions or feedback regarding the Services, you grant Codira the unrestricted right to use and incorporate that feedback without compensation.
5.3 Your Content
You retain ownership of your Inputs. To the extent permitted by law, Codira assigns to you any rights it may hold in generated Outputs.
5.4 Usage Analytics
Codira may collect and analyze technical usage data for purposes such as analytics, security, platform improvement, and service optimization. This data does not include your protected Content.
6.Third-Party Integrations
The Services may support optional third-party tools, extensions, or integrations. Your use of those services is governed by their own terms and policies.
Codira is not responsible for third-party services or content.
7.Communications
Codira may send administrative, operational, or promotional communications related to the Services. You may opt out of promotional messages at any time.
8.Changes to These Terms
We may revise these Terms periodically. Updated versions become effective upon posting. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
9.Suspension and Termination
You may stop using the Services at any time.
Codira may suspend or terminate access to the Services for violations of these Terms, security concerns, legal obligations, nonpayment, or other operational reasons.
Upon termination, certain provisions of these Terms will remain in effect, including ownership, payment obligations, disclaimers, and dispute resolution terms.
10.Service Changes
Codira may modify, discontinue, or remove portions of the Services at any time without liability. You are responsible for maintaining backup copies of any Content you wish to retain.
11.Intellectual Property Complaints
If you believe content within the Services infringes your intellectual property rights, you may submit a notice to Codira including:
- Your signature or authorization;
- Identification of the copyrighted work;
- Identification of the allegedly infringing material;
- Your contact information;
- A statement made in good faith regarding the claim.
12.Privacy
Your use of the Services is also governed by the Codira Privacy Policy.
13.Indemnification
You agree to defend and indemnify Codira and its affiliates from claims, damages, liabilities, and expenses arising from:
- Your misuse of the Services;
- Violations of these Terms;
- Violations of applicable law;
- Claims related to your Inputs or Content.
14.Disclaimer of Warranties
The Services and all Outputs are provided “as is” and “as available.”
Codira disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
Codira does not guarantee uninterrupted operation, security, or error-free functionality.
You are solely responsible for validating and reviewing all ai-generated Outputs.
15.Limitation of Liability
To the maximum extent permitted by law, Codira shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or data.
Codira’s total liability arising from the Services shall not exceed the greater of:
- The amount you paid to Codira during the six months preceding the claim; or
- One hundred U.S. dollars ($100).
16.Dispute Resolution
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration unless otherwise prohibited by law.
Both parties waive the right to jury trials and participation in class-action proceedings.
Arbitration procedures, rules, costs, and opt-out rights will be governed by the applicable arbitration agreement provided by Codira.
17.General Terms
17.1 Entire Agreement
These Terms and the Privacy Policy constitute the complete agreement between you and Codira regarding the Services.
17.2 Governing Law
These Terms are governed by the laws of the State of California, excluding conflict-of-law principles.
17.3 Electronic Communications
You consent to receiving electronic notices, disclosures, and communications from Codira.
